Terms & Conditions of Purchase

1. Introduction

These terms and conditions relate to goods which you offer to purchase from Heeler Dealers online store (“our/this website”). Please read these terms and conditions, which govern your use of this website and our supply to you of any goods which you offer to purchase through our on-line facilities. We will be unable to process any offer to purchase goods until you have done so. If there is anything you do not understand, please feel free to e-mail us at shoes@heelerdealers.com or phone us on.

By making an offer to purchase, you agree to be bound by the whole provisions of the Agreement (as defined in clause 3.1 below) between you and us. If you do not accept these provisions you should not place an order. You must be 16 years or older to use the service.

By placing an order, you confirm to us that you are at least 16 years of age. We may change these terms and conditions at any time and we are not under any obligation to notify you of such changes. By placing an order with us you warrant that you are buying from us to the purposes of your business and that you are not a consumer.

You indemnify us in respect of any cost, damages, expenses of other outgoings we may incur should you break this warranty. 2. Definitions 2.1 “Commencement Date” means the date when our agreement with you is concluded (see clause 3.3); 2.2 “Confirmation Form” means the form that is shown on screen when you have placed an order, confirming details of the Goods which you have offered to purchase and which we have agreed to supply to you; 2.3 “Order Form” means the form completed by you online and showing details of the goods which you have offered to purchase from us; 2.4 “Goods” means the goods to be provided by us to you, as described in the Order Form and Confirmation Form and on the pages of our website relevant to those goods. (In the event of a discrepancy between the description of the Goods on the website and that on the Order Form Confirmation Form, the description on the Order Form or Confirmation Form shall be conclusive); 2.5 “we/us/our” refers to Heeler Dealers, a partnership and having our registered office at 70 Ball Hayes Road, Stoke on Trent, Staffordshire, ST6 6PH. 2.6 “you/yours” refers to you, the person offering to purchase goods from us. 3. Your Agreement with Us 3.1.

These terms and conditions, together with the Order Form, Confirmation Form, Privacy Policy, constitute the entire agreement between you and us relating to the provision of the Goods (“the Agreement”), and supersede any previous agreements, arrangements, undertakings or proposals, written or oral, between us in relation to this, and all past courses of dealing or industry custom. No oral explanation or oral information given by any party (including any information given via our customer service departments) shall alter the interpretation of these terms and conditions. In agreeing to these terms and conditions, you have not relied on any representation other than those expressly stated in these terms and conditions, and you agree that you shall have no remedy in respect of any misrepresentation, which has not been made expressly in these terms and conditions. 3.2 Nothing on our website is intended or shall be interpreted to mean that we are making a legal offer to you to provide the Goods; we are inviting you to make a legal offer to us to purchase the Goods. It is entirely at our discretion to accept or reject the offer to purchase. 3.3 The Agreement is concluded only when we have sent you an e-mail notification that your order has been received. 4. Payment Payment can be made using any of the methods listed on this web site Payment Options and will be debited when we have accepted your offer to purchase. All prices are quoted in UK pounds Sterling and exclude VAT until checkout. Our acceptance of your offer to purchase Goods is subject to their availability. Our acknowledgement of order acceptance via web or e-mail is not a guarantee of delivery. We will inform you if we are unable to deliver the Goods that you have offered to purchase and a full refund will be given, (a) is in stock, will dispatch, (b) if out of stock, will dispatch when returned into stock, (c) if out of stock 28 days of the order placed, we will refund. Every effort has been made to ensure the descriptions and price of goods are correct. We will inform you as soon as possible in the event of an error in pricing or description coming to our attention. Where we notify you of such an error, you will have the option of either (i) confirming your offer to purchase subject to the corrected description or price, or (ii) retracting your offer to purchase and receiving a full refund if the Goods have been paid for. 5. Please note we are unable to accept credit debit cards issued from banks outside the UK. 6. VAT All of the prices listed online will have VAT added upon checkout. 7. Delivery Details and Returns Policy Delivery of all orders is subject to stock availability and authorisation of your payment.  We will endeavor to deliver within 7 to 10 days days. UK Deliveries We can currently only accept orders for delivery to UK postcodes.  We can either deliver your order to the billing address for the creditdebit card you use to pay for your order or you can specify an alternative delivery address in the ‘delivery address’ section of the checkout. All goods must be signed for by an adult aged 18 years or over on delivery. We will make every effort to deliver goods within the estimated time scales; however, delays are occasionally inevitable due to unforeseen factors. We shall be under no liability for any delay or failure to deliver the products within estimated time scales. All deliveries will be made according to the carriers standard procedures; therefore, we cannot guarantee a particular delivery date or time. Risk of loss and damage of products passes to you on the date when the products are delivered or on the date of first attempted delivery by our carriers. Our deliveries are made by a national courier service. If no one is available to receive the item, the delivery company will attempt to leave a ‘Sorry we missed you card' and return the item to the local depot. You can arrange for re-delivery on an alternate day, or collect the package in person from the local depot. All goods are sold subject to availability, if any goods are not available at the point of dispatch you will be refunded you in full for those goods within 28 days. 1.1.The goods will be at your risk from the time of delivery. 1.2.Ownership of the goods will only pass to you when we receive full payment of all sums due in respect of them including VAT and the cost of delivery (in the case of goods). 11.Refund, Return and Cancellation Policy As a wholesale company supplying trade customers, we are not bound by the distance selling regulations. You may not cancel your order if we receive your notice after the goods have been dispatched. We may deliver the goods in installments depending on what you are ordering. We will only accept incorrectly sent, faulty or damaged goods back and offer a replacement; if the goods are unavailable a credit note will be raised.If you are a dropship/ customer, and you are wanting to return your footwear, you can do so but ONLY for a CREDIT (this is subject to a 20% restocking fee, which is calculated via the original price paid for the product) and we can happily offer an exchange too (this is subject to a 20% restocking fee, which is calculated via the original price paid for the product and a re-delivery fee) Before a return is sent you must email us as heels@heelerdealers.com, if we receive no notification, we will deem this as an unauthorized return. All shoe returns must be received back within 14 days. 12. LIMITATION OF LIABILITY AND INDEMNITY Notwithstanding any other provision in these terms and conditions, nothing will affect or limit your statutory rights; or will exclude or limit our liability for: Death or personal injury resulting from our negligence Fraud or fraudulent misrepresentation Action pursuant to section 2(3) of the Consumer Protection Act 1987 Any matter for which it would be unlawful for us to exclude or attempt to exclude our liability We will not be liable, in contract or tort (including, without limitation, negligence), or in respect of pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise for the below mentioned losses which you have suffered or incurred arising out of or in connection with the provision of any matter in these terms and conditions even if such losses are forseeable or result from a deliberate breach by us or as a result of any action we have taken in response to your breach: Any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings) Any loss of goodwill or reputation; or Any special or indirect losses; or Any loss of data Wasted management or office time Any other loss or damage of any kind You agree to fully indemnify, defend and hold us, and our officers, directors, employees and suppliers, harmless immediately on demand, from and against all claims, including but not limited to losses (including loss of profit, revenue, goodwill or reputation), costs and expenses, including reasonable administrative and legal costs, arising out of any breach of these terms and conditions by you, or any other liabilities arising out of your use of this Website or any other person accessing the Website using your personal information with your authority. GOVERNING LAW AND JURISDICTION The Website is controlled and operated in the United Kingdom.
